Terms of Service

These Terms of Service (the "Terms") govern your use of the Prooftide service (the "Service"), operated by Les logiciels Straycat ("Straycat", "we"). By creating an account or using the Service, you agree to these Terms.

1. Description of the Service

Prooftide is a desktop application and hosted service for professional photographers, letting them watermark photos, publish online galleries for their clients, collect client selections, and export the selected original photos.

2. Accounts and plans

Access to the Service is offered through different plans (including a free plan), each with a limit on how many galleries can exist on your account at once; deleting a gallery frees up a slot. Paid plans are recurring subscriptions. We reserve the right to change the plans offered, their limits, and their pricing, with reasonable notice to existing subscribers.

3. Billing

Payments are processed entirely by Polar, which acts as the Merchant of Record for all transactions. Straycat never has access to any payment card information. Billing, receipts, cancellations, and refunds are governed by Polar's own terms and policies, available on their site. Access to the Service under a paid plan is automatically revoked when the corresponding subscription expires or is cancelled.

4. Acceptable use

You agree not to use the Service to publish or transmit unlawful content, not to attempt to circumvent your plan's limits or compromise the Service's security, and to remain responsible for the confidentiality of your API key and of the gallery links you share with your clients.

5. Content ownership

You retain full ownership of the photographs you upload. We only use that content to the extent necessary to provide the Service (for example, hosting galleries and applying the watermark) and do not share it with any third party except as described in our Privacy Policy.

6. Content retention

Content you upload remains available for as long as your subscription is active. If your plan expires or is cancelled, that content will be deleted from our servers 30 days after expiration, unless renewed in the meantime. If you downgrade to a plan with lower limits, content exceeding the new limits will be deleted 30 days after the downgrade. We recommend exporting any photos you need before your plan expires or is downgraded.

7. Availability and no warranty

The Service is provided "as is", without warranty of any kind. We make reasonable efforts to keep it available, but do not guarantee uninterrupted or error-free operation.

8. Limitation of liability

To the extent permitted by applicable law, Straycat will not be liable for any indirect, incidental, or consequential damages arising from use of the Service. Our total liability to you will not exceed the amounts you paid in the twelve (12) months preceding the claim.

9. Termination

You may stop using the Service and cancel your subscription at any time. We may suspend or terminate an account for violation of these Terms.

10. Governing law

These Terms are governed by the laws of the province of Québec and the applicable federal laws of Canada, without regard to conflict of law principles.

11. Changes

We may update these Terms from time to time. Significant changes will be announced on this page.
